Terms of Service

Welcome to ORAVYS. By accessing our platform at app.oravys.com, utilizing our voice analysis technology, or purchasing our services, you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you ("User," "you") and Oravys, Inc. ("ORAVYS," "we," "us"), a Delaware C-Corporation incorporated in the United States.

Research and Development Notice

This platform is currently operating as a Research and Development demonstration. All voice analysis results are probabilistic in nature and must NOT be used as the sole basis for professional, legal, medical, or personal decisions. By using this service, you acknowledge that the technology is under active development and results should be interpreted as indicative, not definitive.

1. Service Description

ORAVYS is a bio-acoustic intelligence platform that analyzes voice recordings to generate psychological, forensic, and personality profiles. The platform operates 1,000+ specialized AI analysis engines across multiple categories, processing hundreds of acoustic dimensions through proprietary analysis logic.

The Service includes, but is not limited to:

  • Voice Analysis Reports: Comprehensive reports generated by our biosignal analysis engine pipeline, covering personality markers, stress indicators, cognitive load, emotional patterns, forensic authenticity, and vocal characteristics.
  • Real-Time Analysis: WebSocket-based live voice analysis with instant biomarker detection during voice capture, including real-time stress, emotion, and cognitive load metrics.
  • Dual-Speaker Analysis: Comparative analysis of two voice samples to assess interpersonal dynamics, compatibility, and relational forensic patterns.
  • Insurance and Forensic Intelligence: Specialized forensic engines for claim verification, voice authenticity assessment, coached speech detection, and fraud pattern analysis. Available to enterprise customers under dedicated agreements.
  • HR and Enterprise Tools: Professional voice intelligence tools for recruitment screening, leadership assessment, and team compatibility analysis.
  • Voice Heritage Products: Long-term voice storage, time capsule, and living memory services.
  • API Access: Versioned REST API (v1) and enterprise integration SDK for programmatic access to analysis engines, report generation, and GDPR data management endpoints.
  • Progressive Web App (PWA): Installable application with offline support, file handling for audio files, share target integration, and platform-native experience on desktop and mobile devices.

Global Operations

These Terms apply to all users worldwide. ORAVYS operates as a multinational digital entity. By using our services, you acknowledge that data processing may occur in jurisdictions outside your country of residence, subject to the protections described in our Privacy Policy.

2. Acceptable Use

2.1 Voice Submission Requirements

By uploading a voice sample, you represent and warrant that:

  • You are the sole owner of the voice recording; OR
  • You have obtained explicit, informed, and verifiable consent from the individual whose voice is recorded to submit their audio for bio-acoustic analysis.

Submitting the voice of a third party without their consent is a material breach of these Terms. You agree to indemnify and hold ORAVYS harmless against any claims, damages, or legal actions arising from unauthorized voice submissions.

2.2 Prohibited Uses

You agree not to use the Service to:

  • Discriminate against individuals based on analysis results in employment, housing, credit, insurance, or other consequential decisions.
  • Conduct mass surveillance or analyze recordings of groups without individual consent.
  • Generate reports intended to harass, stalk, blackmail, or cause harm to any person.
  • Present ORAVYS results as medical diagnoses, legal evidence, or certified psychological evaluations without professional corroboration.
  • Reverse-engineer, decompile, disassemble, extract, replicate, or otherwise attempt to discover the source code, algorithms, AI models, neural network weights, detection systems, or engine logic underlying the Service (except to the extent this restriction is prohibited by applicable law).
  • Use automated systems, bots, or scripts to submit audio at scale without prior written agreement.
  • Analyze recordings of minors under 16 years of age.
  • Attempt to identify individuals through voice matching without their explicit consent.
  • Circumvent any security measures, rate limits, or access controls.
  • Resell, redistribute, or sublicense access to the Service without authorization.
  • Use knowledge, techniques, or insights gained from ORAVYS to develop, improve, or train AI systems that generate synthetic or cloned voice content (deepfakes).
  • Develop competing products or services by systematically using, benchmarking, or extracting information from the Service or its outputs.
  • Use automated scraping, crawling, or systematic data extraction methods to collect data, outputs, or information from the Service.

Right to Refuse Service

We reserve the absolute right to refuse, suspend, or terminate service to anyone for any reason at any time. If we suspect that a submitted voice file violates these Terms or our ethical guidelines, we may cancel the order. Violation of the Acceptable Use policy may result in immediate termination of your access without refund.

2.3 Compute Abuse and Resource Integrity

ORAVYS operates computationally intensive AI analysis engines. To ensure equitable service quality for all users, you agree that:

  • You will not engage in patterns of usage designed to consume disproportionate compute resources relative to your subscription tier, including but not limited to submitting abnormally large volumes of audio, repeatedly resubmitting identical recordings, or exploiting free-tier allocations through multiple accounts.
  • You will not use automated systems, scripts, bots, or programmatic tools to interact with the Service unless you are on an Enterprise tier with explicit API authorization, or have received prior written approval from ORAVYS.
  • You will not attempt to circumvent rate limits, usage quotas, file size restrictions, or other technical controls designed to maintain platform stability.
  • You will not engage in activity that degrades, disrupts, or unreasonably burdens the Service's infrastructure, network capacity, or processing resources, or that interferes with any other user's ability to access or use the Service.

ORAVYS reserves the right to monitor usage patterns for signs of abuse, automated access, or resource exploitation. If ORAVYS determines, in its sole discretion, that your usage constitutes compute abuse or threatens platform stability, ORAVYS may, without prior notice: (a) throttle or rate-limit your access; (b) temporarily suspend your account; (c) permanently terminate your account; or (d) charge overage fees for extraordinary resource consumption as described in Section 8 (Fair Use and Compute Limits). Such actions do not entitle you to a refund.

3. Intellectual Property

3.1 ORAVYS Platform

The Service, including all software, algorithms, AI models, engine architectures, report designs, analysis methodologies, trademarks, logos, and documentation, is the exclusive intellectual property of Oravys, Inc. and is protected by applicable intellectual property laws. No license is granted to you except the limited right to use the Service in accordance with these Terms.

3.1.1 Trademarks

"ORAVYS" is a registered trademark (French registration No. 25 5212037, classes 9 and 42) owned by ORAVYS. The ORAVYS name, logo, and all associated product names | including VoiceSonar, Claims Detect, and Voice DD | are trademarks or trade names of ORAVYS. You may not use any ORAVYS trademark without prior written consent, except to accurately refer to the Service in a manner that does not suggest sponsorship or endorsement.

3.2 Your Content

You retain all rights to the voice recordings you submit. By uploading audio, you grant ORAVYS a limited, non-exclusive license to process the recording solely for the purpose of generating your analysis report. This license terminates upon deletion of the recording from our systems.

3.3 Ownership of Outputs

ORAVYS assigns to you all its right, title, and interest, if any, in and to the analysis reports and outputs generated from your audio recordings ("Outputs"). You own your reports. You may use, share, publish, or distribute your Outputs for any lawful purpose. ORAVYS retains no license, claim, or interest in your Outputs beyond what is needed to deliver the Service.

3.4 Non-Uniqueness of Outputs

Analysis outputs are generated deterministically from acoustic features. Identical or substantially similar audio recordings submitted by different users may produce identical or substantially similar outputs. Ownership of your Outputs does not confer exclusive rights over analytically equivalent results generated from similar audio inputs.

Note on AI-Generated Content

AI-generated outputs may not be eligible for copyright protection in all jurisdictions. The "if any" qualifier in Section 3.3 acknowledges this legal uncertainty while maximizing your rights over your reports.

4. Disclaimers

4.1 Not Medical Advice

The Service is provided for informational, educational, and self-development purposes only. ORAVYS is not a medical device and does not provide medical advice, diagnosis, or treatment. Voice biomarker analysis is not a substitute for professional medical consultation. Do not disregard professional medical advice or delay seeking treatment based on information obtained through our reports.

4.2 Not Legal Evidence

ORAVYS analysis reports do not constitute legal evidence, forensic testimony, or certified psychological evaluations. Results should not be presented in legal proceedings as definitive proof of any claim without independent professional corroboration and expert testimony.

4.3 Probabilistic Nature of Results -- AI/ML Disclaimer

All analysis results produced by ORAVYS are generated by artificial intelligence and machine learning models and are probabilistic assessments, not legal determinations, medical diagnoses, or definitive conclusions of fact. Our AI engines process acoustic signals to generate statistical assessments, not absolute determinations. Outputs may not always be accurate and may contain material inaccuracies even when they appear precise. You should not rely on any outputs without independently verifying their accuracy through qualified professional review. Results are influenced by recording quality, ambient noise, speaker state, cultural and linguistic context, and other variables. Confidence scores are provided with each analysis dimension to indicate reliability levels. ORAVYS makes no representation, warranty, or guarantee that the Service will meet your specific requirements or expectations, or that outputs will be accurate, complete, or error-free.

Critical AI Limitation Notice

ORAVYS analysis results must not be used as the sole basis for any legal, employment, criminal, insurance, immigration, or other consequential decision affecting any individual. The Service employs large language models and neural networks that may produce errors, hallucinations, or inconsistent outputs. All automated outputs require independent human review and professional judgment before any action is taken. You assume full responsibility for any reliance on or use of Service outputs.

4.4 Professional Use Disclaimer

If you use ORAVYS for professional purposes (recruitment, HR, management, due diligence):

  • Support Tool Only: ORAVYS reports are supplementary data points and shall not be the sole basis for hiring, firing, promotion, or investment decisions.
  • Compliance Responsibility: You are solely responsible for compliance with local labor, discrimination, and data protection laws when using the Service in professional contexts.
  • Bias Awareness: You acknowledge that AI systems may reflect biases and commit to considering cultural, linguistic, and contextual factors when interpreting results.

4.5 Insurance and Forensic Use Disclaimer

If you use ORAVYS for insurance claim assessment, fraud detection, or forensic investigation:

  • Supplementary Evidence Only: ORAVYS forensic analysis (including coached speech detection, authenticity scoring, and claim consistency assessment) provides investigative leads, not conclusive determinations. Results must not serve as the sole basis for claim denial, fraud accusation, or legal action.
  • Regulatory Compliance: You are responsible for ensuring that your use of voice analysis complies with all applicable insurance regulations, anti-discrimination laws, biometric privacy statutes (including but not limited to BIPA, GDPR, and equivalent frameworks), and industry-specific requirements in your jurisdiction.
  • Human Review Required: All forensic and insurance-related analyses must be reviewed by qualified human professionals before any consequential decision is made.

4.6 No Warranty on Detection Accuracy

ORAVYS does not warrant or guarantee that the Service will detect all synthetic, manipulated, cloned, or AI-generated audio. Detection results are provided on an "AS-IS" basis. Detection accuracy varies significantly based on audio quality, recording conditions, compression artifacts, the specific generation method or tool used to create synthetic audio, and the evolving sophistication of audio generation technology. ORAVYS makes no representation that its detection engines will identify every instance of deepfake, voice cloning, text-to-speech synthesis, or other forms of audio manipulation. False positives and false negatives are inherent to the technology. You acknowledge and accept this limitation.

4.7 GDPR Article 22 -- Automated Processing Disclaimer

All outputs of the Service constitute automated processing output within the meaning of GDPR Article 22. ORAVYS analysis results are decision-support tools only. Human review by a qualified professional is required before any consequential action is taken on the basis of Service outputs, including but not limited to employment decisions, insurance claim determinations, legal proceedings, law enforcement actions, or any other decision producing legal effects or significantly affecting a natural person. The user deploying the Service is solely responsible for ensuring that adequate human oversight is in place.

5. Service Delivery and Technical Delays

While we aim to deliver analysis reports promptly, delivery timelines are estimates only and are not guaranteed. The Service relies on complex AI systems that may experience downtime, maintenance, or high processing volumes. Technical delays do not constitute a breach of contract and do not automatically entitle you to a refund.

6. Data Retention and Report Retrieval

ORAVYS is not a cloud storage service. You are solely responsible for downloading and saving your analysis report upon delivery.

  • Free Tier: Voice recordings are processed and automatically deleted within 24 hours of analysis completion.
  • Single Purchase Reports: Voice recordings may be retained for up to 30 days for report regeneration and quality assurance, then permanently deleted.
  • Voice Heritage / Capsule Products: Voice recordings are stored securely for the contractual duration (10, 50, or perpetual years). Storage fees are included in the purchase price.
  • Enterprise / API Subscriptions: Data retention follows the terms specified in your enterprise agreement.

If you fail to retrieve your report within the availability window (typically 30 days), it may be permanently removed. ORAVYS is not liable for data loss resulting from failure to download your report. You may request early deletion at any time by contacting contact@oravys.com.

7. Subscription Terms and Payments

7.1 Pricing

ORAVYS offers tiered pricing for individuals and businesses:

  • Consumer Tiers (B2C): Free (limited analysis), Single Report, Pro, and higher tiers with increasing engine access and report depth.
  • Business Tiers (B2B): Startup, Business, Professional, and Enterprise plans with dedicated API access, custom integrations, and priority support.

Pricing and service offerings are subject to change in accordance with Section 9 (Pricing and Plan Modifications). Feature access is gated by subscription tier; the number and type of analysis engines available to you depends on your plan level. Usage is subject to the Fair Use policy described in Section 8.

7.2 Monthly Subscriptions

  • Subscriptions renew automatically on the same day each month unless cancelled.
  • To avoid being charged for the next billing cycle, cancellation must be submitted at least 48 hours before your renewal date.
  • Upon cancellation, your subscription remains active until the end of the current billing period. No partial refunds are provided for unused portions of the current month.

7.3 Annual Subscriptions

Annual subscriptions are paid in full at the time of purchase. Early cancellation does not entitle you to a pro-rated refund unless required by applicable law in your jurisdiction.

8. Fair Use and Compute Limits

8.1 Fair Use Policy

Each subscription tier includes a monthly allocation of analysis minutes and report generations ("Usage Quota"). Usage Quotas are published on our pricing page and are incorporated by reference into these Terms. ORAVYS reserves the right to modify Usage Quotas at any time with thirty (30) days' notice to active subscribers.

  • Free Tier: Limited to the number of analyses and audio duration specified on the pricing page at the time of use. Free-tier quotas are soft limits and may be adjusted without notice. Free-tier users have no guaranteed minimum allocation.
  • Paid Consumer Tiers (Single, Pro, and above): Monthly analysis minutes and report counts as specified for your plan. Quotas reset on the first day of each billing cycle. Unused quotas do not roll over to subsequent periods.
  • Business and Professional Tiers: Enhanced quotas as specified in the applicable plan documentation. Overage usage may be billed at the published per-unit overage rate or throttled, at ORAVYS's discretion.
  • Enterprise Tier: Custom quotas as specified in your enterprise agreement. Enterprise SLA terms, if any, apply exclusively to the Enterprise tier.

8.2 Soft Limits and Hard Limits

Monthly Usage Quotas are initially enforced as soft limits. ORAVYS may permit limited overage beyond your quota at its sole discretion. However, ORAVYS reserves the right to enforce hard limits at any time without prior notice if: (a) your usage pattern indicates automated or abusive behavior; (b) overall platform capacity is constrained; or (c) continued overage would materially impact service quality for other users. When hard limits are enforced, analysis requests exceeding your quota will be queued, throttled, or rejected until your next billing cycle or until you upgrade your plan.

8.3 Automated and Bot Usage

Programmatic, automated, or bot-driven access to the Service -- including but not limited to scripts, CI/CD pipelines, third-party integrations, and automated testing frameworks -- requires an Enterprise tier subscription or explicit prior written authorization from ORAVYS. Unauthorized automated access constitutes a material breach of these Terms and may result in immediate account termination without refund. ORAVYS may employ technical measures to detect and block automated access that has not been authorized.

8.4 Extraordinary Processing Costs

If your usage causes extraordinary processing costs materially exceeding the costs associated with typical usage of your subscription tier -- including but not limited to uploading exceptionally long audio files, submitting files in uncommon formats requiring additional transcoding, batch-submitting large volumes of audio in short periods, or any other usage pattern that consumes disproportionate compute resources -- ORAVYS reserves the right to:

  • Notify you that your usage exceeds fair use parameters and request that you modify your usage pattern or upgrade your subscription tier.
  • Apply overage fees at the published per-unit rate (or, if no rate is published, at a commercially reasonable rate communicated to you in writing before charges are applied).
  • Throttle, queue, or temporarily restrict your access until the extraordinary usage pattern ceases.
  • Terminate your account with thirty (30) days' notice if extraordinary usage persists after notification.

You are responsible for monitoring your own usage. ORAVYS may, but is not obligated to, provide usage dashboards, alerts, or notifications when you approach or exceed your quota.

Fair Use Is Per Account

Usage Quotas apply per account, not per user or per device. Creating multiple accounts to circumvent quotas is a violation of these Terms and may result in termination of all associated accounts. If you require higher limits, please contact enterprise@oravys.com to discuss an Enterprise plan.

9. Pricing and Plan Modifications

9.1 Right to Modify Pricing

ORAVYS reserves the right to modify, adjust, or restructure its pricing, subscription plans, feature allocations, usage quotas, and billing terms at any time at its sole discretion. This includes, without limitation, the right to: (a) increase or decrease subscription fees; (b) add, remove, or restructure subscription tiers; (c) change which features, engines, or analysis capabilities are included in each tier; (d) modify per-unit overage rates; and (e) change billing frequency or payment terms.

9.2 Notice of Changes

For material pricing changes that increase the cost of your current subscription, ORAVYS will provide at least thirty (30) days' written notice via the email address associated with your account and/or via a prominent notice on the platform. Minor adjustments to features, quotas, or non-price terms may be made with reasonable notice posted on the platform.

9.3 Effect on Existing Subscriptions

When ORAVYS modifies pricing or plan structures, the following terms apply to existing subscribers:

  • Current Billing Period: Your existing subscription will be honored at your current rate and terms through the end of your current billing period (monthly or annual cycle).
  • Grandfathering Period: At ORAVYS's discretion, existing customers may be grandfathered at their current rate for a defined period (up to six (6) months from the effective date of the pricing change). Grandfathering is offered at ORAVYS's sole discretion and is not guaranteed. If a grandfathering period is offered, the specific duration and terms will be communicated in the pricing change notice.
  • Migration to Equivalent Plan: Where ORAVYS restructures its plan tiers (e.g., merging, splitting, or discontinuing plans), ORAVYS may migrate your subscription to the nearest equivalent plan in terms of features and capacity. You will receive at least thirty (30) days' notice of any such migration, including a comparison of your current and proposed plan features.
  • Right to Cancel: If you do not accept a pricing change or plan migration, you may cancel your subscription before the new pricing takes effect. Upon cancellation: (a) for monthly subscriptions, your service continues through the end of your current monthly billing period; (b) for annual subscriptions, you will receive a pro-rated refund for the unused portion of your annual term from the date the new pricing would have taken effect.

Continued use of the Service after the new pricing takes effect constitutes acceptance of the modified terms. If you neither cancel nor affirmatively accept, the new pricing will apply automatically upon your next billing cycle following the expiration of any applicable grandfathering period.

9.4 Free Tier Modifications

The Free tier is provided at ORAVYS's sole discretion and may be modified, limited, or discontinued at any time without notice. Free-tier users have no vested right to continued access, specific features, or any particular level of service. ORAVYS may introduce, modify, or remove free-tier limitations (including analysis count, engine access, audio duration, and report depth) without prior notice.

Pricing Transparency

Current pricing and plan details are always available on our pricing page. Historical pricing changes are archived and available upon request. Enterprise customers with custom pricing agreements are governed by the terms of their individual contracts.

10. Service Availability and Modifications

10.1 Right to Modify the Service

ORAVYS reserves the right, at any time and without obligation, to modify, update, suspend, or discontinue any aspect of the Service, in whole or in part, with or without notice. This includes, without limitation, the right to:

  • Add, modify, or remove analysis engines, engine categories, or detection capabilities.
  • Change the number, type, or configuration of AI models used in the analysis pipeline.
  • Modify report formats, scoring methodologies, confidence calibration, or output structures.
  • Discontinue specific features, analysis types, or product offerings.
  • Modify or discontinue API endpoints, SDK versions, or integration capabilities.
  • Change system requirements, supported audio formats, or file size limits.

ORAVYS shall use commercially reasonable efforts to provide advance notice of material changes that would significantly reduce the functionality available to paid subscribers. However, ORAVYS is under no obligation to maintain any specific engine, analysis type, accuracy level, feature, or functionality indefinitely.

10.2 No Guaranteed Uptime (Free and Basic Tiers)

The Service is provided on an "as available" basis. ORAVYS does not guarantee any specific uptime percentage, response time, or availability for Free, Single Report, or Pro tier users. Scheduled and unscheduled maintenance, infrastructure upgrades, security patches, and capacity management may result in temporary service interruptions. ORAVYS will use commercially reasonable efforts to minimize disruptions but is not liable for any downtime or service degradation affecting non-Enterprise users.

10.3 Enterprise Service Level (Enterprise Tier Only)

Enterprise customers with a signed enterprise agreement may be entitled to specific service level commitments as defined in their individual Service Level Agreement (SLA). SLA terms -- including uptime guarantees, response time commitments, support priority, and service credit remedies -- are available exclusively to Enterprise tier customers and are governed by the terms of the applicable enterprise agreement. No SLA applies to any tier other than Enterprise.

10.4 Planned Maintenance

ORAVYS may perform planned maintenance that temporarily limits or interrupts the Service. Where practicable, ORAVYS will provide at least twenty-four (24) hours' advance notice of planned maintenance via the platform status page or email notification. Emergency maintenance required to address security vulnerabilities, data integrity risks, or critical infrastructure issues may be performed without advance notice.

10.5 Force Majeure

ORAVYS shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond ORAVYS's reasonable control, including but not limited to: acts of God, natural disasters, pandemic, war, terrorism, government actions, third-party service provider outages, internet infrastructure failures, power failures, cyberattacks, or labor disputes.

10.6 Beta and Experimental Features

ORAVYS may designate certain features, engines, or analysis capabilities as "Beta," "Preview," or "Experimental." Beta features are provided AS-IS without warranty, may be modified or discontinued without notice, and are excluded from any SLA or service level commitment. Your use of Beta features is at your own risk.

11. Refund Policy

11.1 Eligibility

  • Refund requests must be submitted within 7 days of purchase.
  • Refunds may be considered if the service was not delivered as described or if technical issues on our end prevented delivery.
  • Refunds are processed at our sole discretion and require review of the circumstances.

11.2 Non-Refundable Circumstances

Refunds will not be granted in the following circumstances:

  • Completed Analysis: If you have received and accessed your voice analysis report, regardless of satisfaction with results.
  • Abuse or Bad Faith: If we reasonably believe you are attempting to obtain services without payment or engaging in a pattern of refund requests.
  • Terms Violation: If you have violated any provision of these Terms.
  • Data Already Processed: If your voice data has been processed by our AI engines, as the computational resources have been expended.
  • Dissatisfaction with Accuracy: Voice analysis is probabilistic. Disagreement with results does not constitute grounds for refund.

11.3 Refund Process

All refund requests must be submitted in writing to contact@oravys.com with your order/transaction ID, date of purchase, and detailed reason for the request. We will respond within 14 business days. Approved refunds are processed to the original payment method within 5-10 business days.

12. Limitation of Liability

12.1 Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, reliability, or non-infringement. ORAVYS does not warrant that: (a) the Service will meet your specific requirements or expectations; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) the results obtained from the Service will be accurate, reliable, or complete; or (d) any errors in the Service will be corrected.

ORAVYS does not warrant or guarantee the performance, availability, or security of any third-party service used in connection with the Service, including but not limited to cloud hosting providers, payment processors, authentication providers, and content delivery networks.

12.2 Exclusion of Consequential Damages

To the fullest extent permitted by applicable law, in no event shall ORAVYS, its officers, directors, employees, agents, affiliates, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to: loss of data, loss of profits, loss of revenue, loss of business opportunities, business interruption, cost of procuring substitute services, reputational harm, or reliance on analysis results, arising out of or in connection with your use of or inability to use the Service, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, even if ORAVYS has been advised of the possibility of such damages.

12.3 Aggregate Liability Cap

To the fullest extent permitted by applicable law, the total aggregate liability of ORAVYS for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of:

  • Free Tier Users: Ten US dollars ($10).
  • Paid Consumer Tier Users (Single, Pro, and above): The total amount you have actually paid to ORAVYS in the twelve (12) months immediately preceding the event giving rise to the claim, or one hundred US dollars ($100), whichever is greater.
  • Business and Professional Tier Users: The total amount you have actually paid to ORAVYS in the twelve (12) months immediately preceding the event giving rise to the claim.
  • Enterprise Tier Users: The amount specified in your enterprise agreement, or if no amount is specified, the total fees paid in the twelve (12) months preceding the event giving rise to the claim.

This limitation applies collectively to all claims, actions, and causes of action of every kind and nature, whether known or unknown, suspected or unsuspected, and whether disclosed or undisclosed. ORAVYS is not liable for any decisions made by any person or entity based on Service outputs, including decisions resulting in financial loss, reputational harm, legal consequences, or any other adverse outcome.

12.4 Liability Cap for Compute and Infrastructure Costs

ORAVYS is not liable for any costs, damages, or losses exceeding your subscription fee that arise from or relate to compute resource consumption, infrastructure usage, processing delays, analysis queue times, or any other operational aspect of delivering the Service. Your subscription fee represents the maximum financial exposure of ORAVYS with respect to compute and infrastructure-related claims. ORAVYS makes no representations regarding the computational resources allocated to your account and is not liable for variations in processing speed, throughput, or capacity.

12.5 No Liability for Decisions Based on Outputs

ORAVYS is not liable for any decisions made by you or any third party based on information contained in analysis reports, real-time analysis outputs, or any other Service output. You assume full responsibility for your interpretation of and reliance on Service outputs, and for any consequences arising from decisions made on the basis of such outputs.

12.6 Essential Basis of the Agreement

You acknowledge that ORAVYS has set its prices and entered into these Terms in reliance upon the disclaimers of warranty and the limitations of liability set forth herein, that the same reflect an allocation of risk between the parties (including the risk that a contract remedy may fail of its essential purpose and cause consequential loss), and that the same form an essential basis of the bargain between the parties.

Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the limitations set forth above shall apply to the fullest extent permitted by applicable law. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.

13. AI Transparency and Responsible Use

13.1 Our Commitments

  • We publish Engine Cards documenting the capabilities, limitations, and known biases of each analysis category.
  • We actively work to identify and mitigate biases related to accent, language, gender, and age.
  • All analysis results include confidence scores indicating reliability.
  • We maintain transparency about what our technology can and cannot do.
  • We do not use biometric identification -- we analyze acoustic patterns, not speaker identity.
  • We implement multi-layer meta-analysis providing coherence validation and cross-checking of engine outputs for internal consistency.

13.2 Your Commitments

  • You will inform individuals whose voices are being analyzed, where legally required.
  • You will not use results as the sole basis for consequential decisions about individuals.
  • You will consider cultural, linguistic, and contextual factors when interpreting results.
  • You will report concerns about bias or misuse to ethics@oravys.com.

13.3 EU AI Act Compliance

ORAVYS acknowledges the European Union Artificial Intelligence Act (EU AI Act) and its risk-based classification framework. Voice analysis may be classified as a high-risk AI system when used in employment, insurance, or law enforcement contexts. In such cases:

  • We provide detailed technical documentation of our analysis methodology and engine architecture.
  • Human oversight mechanisms are built into all enterprise deployments.
  • We maintain records of analysis accuracy, known limitations, and bias mitigation efforts.
  • Enterprise customers using ORAVYS in high-risk contexts receive compliance guidance and may request conformity documentation.

14. Privacy and Consent Controls

ORAVYS uses a settings-based consent model with granular, reversible controls. Your Privacy Settings dashboard allows control over:

  • Model Improvement: Whether your anonymized data may contribute to improving ORAVYS engines. Default: OFF (opt-in required).
  • Research Sharing: Whether your anonymized results may be shared for academic research. Default: OFF.
  • Marketing Communications: Whether you receive product updates and offers. Default: OFF.

All privacy toggles are opt-in by default (OFF). Changes take effect immediately and are fully reversible. For complete details on how we handle your data, see our Privacy Policy.

14.1 Dual-Speaker Analysis Consent

When using dual-speaker analysis features, you represent that you have obtained consent from both individuals whose voices are being compared. You acknowledge that compatibility and relational analysis results reflect acoustic patterns only and do not constitute psychological or relational counseling.

14.2 Real-Time Analysis Consent

WebSocket-based real-time analysis processes voice data as a continuous stream. By initiating a real-time session, you consent to the live processing of your audio input. Real-time sessions require authenticated access. Audio streamed during real-time analysis is not stored beyond the active session unless you explicitly request report generation.

14.3 Zero Data Retention Option

Enterprise and Pro users may opt for Zero Data Retention (ZDR) mode, where audio is analyzed in real-time streaming and never stored on ORAVYS servers. Contact enterprise@oravys.com to activate ZDR.

14.4 Feedback License

If you voluntarily provide suggestions, bug reports, feature requests, ratings, or other feedback about the Service ("Feedback"), you grant ORAVYS a non-exclusive, worldwide, royalty-free, sublicensable license to use, modify, reproduce, distribute, and incorporate such Feedback into the Service without obligation or compensation to you. This license is limited to the purpose of improving and developing the Service. You retain all rights in your Feedback and may provide similar feedback to any other party. Feedback does not include your voice recordings, biometric data, or analysis outputs, which are governed by the Privacy Policy.

15. GDPR / RGPD Compliance

ORAVYS is committed to protecting your personal data in accordance with the European General Data Protection Regulation (GDPR) and applicable national data protection laws.

15.1 Data Roles

  • Data Processor: When ORAVYS analyzes your audio recording, we act as a Data Processor executing your instructions. We process the audio solely to generate your report.
  • Data Controller: For account data (email, authentication, payment records), ORAVYS acts as a Data Controller, determining the purposes and means of processing.

Enterprise customers may request a Data Processing Addendum (DPA) documenting these roles and obligations under GDPR Article 28.

15.2 Your Rights

Under GDPR, you have the right to access, rectification, erasure, restriction, data portability, objection, and withdrawal of consent. To exercise these rights, contact our Data Protection Officer at privacy@oravys.com. We respond within 30 days as required by law. Full details are provided in our Privacy Policy.

15.3 International Data Transfers

ORAVYS processes data primarily within the European Union (Google Cloud, europe-west1 region). Where transfers outside the EU/EEA are necessary, we rely on Standard Contractual Clauses (SCCs) and appropriate technical safeguards including encryption in transit (TLS 1.3) and at rest (AES-256).

16. Indemnification

16.1 Your Indemnification of ORAVYS

You agree to indemnify, defend, and hold harmless Oravys, Inc., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

  • Your use of the Service in violation of these Terms.
  • Your submission of voice recordings without proper authorization or consent from the recorded individual(s). You represent and warrant that you have the legal right to record, submit, and analyze all voice samples provided to the Service.
  • Any decisions made by you or third parties based on ORAVYS analysis reports.
  • Your violation of any applicable law or regulation in connection with your use of the Service.
  • Any claim by a third party that your use of the Service constitutes harassment, stalking, unauthorized surveillance, or invasion of privacy.

16.1.1 User Representations and Warranties

By using the Service, you represent and warrant that:

  • Legal Authority: You have the legal authority and capacity to submit each voice recording for analysis, whether as the speaker, the speaker's authorized representative, or an employer/entity with documented lawful basis for processing.
  • Consent Obtained: You have obtained all necessary consents from every individual whose voice appears in any recording submitted to the Service, including informed consent for bio-acoustic and biometric analysis. Where applicable, such consent complies with two-party/all-party consent requirements under the wiretapping and electronic surveillance laws of the relevant jurisdiction(s).
  • Lawful Purpose: You will not use the Service for purposes of harassment, stalking, intimidation, blackmail, unauthorized surveillance, discrimination, or any other unlawful purpose.
  • No Illegal Recording: No audio submitted to the Service was obtained through wiretapping, illegal interception, covert recording in violation of applicable law, or any other unlawful means.

16.2 ORAVYS Indemnification (Enterprise)

For enterprise customers under a paid subscription or enterprise agreement, ORAVYS will indemnify and defend you against any third-party claim alleging that your authorized use of the Service infringes a third party's intellectual property rights, provided that: (a) you promptly notify ORAVYS in writing of the claim; (b) you grant ORAVYS sole control of the defense and settlement; and (c) you provide reasonable cooperation. This IP indemnification is not subject to the general limitation of liability cap in Section 12. ORAVYS has no indemnification obligation for claims arising from (i) your inputs or content, (ii) use of the Service in violation of these Terms, or (iii) modifications made by you to the Service or its outputs.

17. Modifications to Terms

We reserve the right to modify, update, or change these Terms at any time at our sole discretion. Changes become effective immediately upon posting on this page with an updated "Last Updated" date. Your continued use of the Service after any modifications constitutes acceptance of the revised Terms.

For material changes that significantly affect your rights, we will make reasonable efforts to notify users via email or a prominent notice on the platform at least 30 days in advance. However, it remains your responsibility to review these Terms periodically.

18. Termination and Suspension

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. ORAVYS may immediately suspend access without prior notice if it reasonably believes that continued provision of the Service to you would violate applicable law, would create a material risk of legal liability, or would endanger the safety, security, or rights of any person.

18.1 Grounds for Immediate Suspension

Without limiting the foregoing, ORAVYS may immediately suspend or terminate your access without notice upon any of the following:

  • Consent Violations: Submission of audio recordings without the informed consent of the recorded individual(s), or submission of audio obtained through surreptitious recording.
  • Wiretapping and Surveillance Law Violations: Use of the Service in connection with audio obtained in violation of applicable wiretapping, eavesdropping, or electronic surveillance laws, including but not limited to the U.S. Federal Wiretap Act (18 U.S.C. 2511), state two-party consent laws, or equivalent legislation in any jurisdiction.
  • Reverse-Engineering: Any attempt to reverse-engineer, decompile, disassemble, extract, probe, or otherwise discover the source code, algorithms, model weights, detection logic, or proprietary methodology of the Service.
  • Rate Limit and Quota Abuse: Systematic circumvention of rate limits, creation of multiple accounts to evade quotas, or use of automated tools to exceed authorized usage levels.
  • Harassment and Stalking: Use of the Service to harass, stalk, intimidate, threaten, or conduct unauthorized surveillance of any individual.
  • Competitive Intelligence Extraction: Systematic use of the Service to benchmark, replicate, or develop competing products or services.

18.2 Effect of Termination

Upon termination:

  • Your right to use the Service ceases immediately.
  • We may delete your account data, voice recordings, and reports in accordance with our data retention policies.
  • No refund is owed for any prepaid fees relating to the period after termination, unless required by applicable law.
  • Sections that by their nature should survive termination (including Disclaimers, Limitation of Liability, Indemnification, Governing Law, and Feedback License) will remain in effect.

You may terminate your account at any time by contacting contact@oravys.com and requesting account deletion.

19. Governing Law, Dispute Resolution, and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles. If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

19.1 Informal Resolution

Before filing any claim, you agree to try to resolve the dispute by contacting contact@oravys.com. We will try to resolve the dispute informally within sixty (60) days.

19.2 Binding Arbitration

If informal resolution fails, all disputes arising from or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules before a single arbitrator. The arbitration shall be conducted in English and held in Wilmington, Delaware, or remotely at the arbitrator's discretion. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

19.7 EU-Specific Addendum

If you are a consumer located in the European Economic Area (EEA) or the United Kingdom, mandatory consumer protection laws of your country of residence may apply to the extent they cannot be derogated from by contract. Nothing in these Terms restricts your rights under the GDPR, the EU Consumer Rights Directive (2011/83/EU), or other mandatory EU consumer protection legislation. Disputes with EU consumers may also be submitted to the Online Dispute Resolution (ODR) platform operated by the European Commission at https://ec.europa.eu/consumers/odr. For EU users, the arbitration clause in Section 19.2 applies only to the extent permitted by the mandatory laws of your jurisdiction.

19.3 Class Action Waiver

YOU AND ORAVYS AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

19.4 Jury Trial Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND ORAVYS WAIVE THE RIGHT TO A JURY TRIAL.

19.5 Small Claims Exception

Either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.

19.6 Opt-Out Right

You may opt out of the arbitration and class action waiver provisions by sending written notice to legal@oravys.com within thirty (30) days of first accepting these Terms. If you opt out, the remaining provisions continue to apply.

20. Platform Security

ORAVYS implements multiple layers of security to protect the platform, your data, and the integrity of analysis results:

  • Authentication: WebSocket real-time analysis requires authenticated sessions. API access requires secure API key management with audit logging.
  • Thread Safety: All shared-state operations use thread-safe locking mechanisms to prevent data corruption under concurrent access.
  • Input Sanitization: All user inputs are sanitized to prevent injection attacks, including cross-site scripting (XSS), log injection (CRLF), and SQL injection.
  • PII Protection: Personally identifiable information is hashed in system logs using cryptographic one-way functions. Raw email addresses and personal identifiers are never stored in application logs.
  • Encryption: TLS 1.3 in transit, AES-256 at rest. API keys are transmitted via secure headers with no-cache directives.
  • Rate Limiting: Request rate limiting and abuse detection are enforced across all endpoints to maintain service quality and prevent misuse.

22. Assignment

You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, without ORAVYS's prior written consent. ORAVYS may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets without your consent. Any attempted assignment in violation of this section shall be void.

23. Entire Agreement

These Terms, together with the Privacy Policy and any applicable enterprise agreement, constitute the entire agreement between you and ORAVYS with respect to the Service, and supersede all prior or contemporaneous communications, proposals, and agreements, whether electronic, oral, or written, between you and ORAVYS regarding the Service.

24. Export Controls and Sanctions

You represent that you are not located in, under the control of, or a national or resident of any country subject to applicable trade sanctions or embargoes, and that you are not on any restricted party list. You agree to comply with all applicable export control laws and trade sanctions in connection with your use of the Service. ORAVYS may restrict access from sanctioned territories without notice.
